The Block – Terms of Participation

Welcome to The Block. These Terms of Participation ("Terms") govern participation by businesses featured in The Block neighborhood passport, print guides, related digital materials, and promotional efforts.

By submitting payment, content, or materials for inclusion, you agree to these Terms.

1. Participation and Deliverables

Participation includes placement in The Block print passport and/or related promotional materials as described at the time of purchase.

The Block will make reasonable efforts to include your business in the selected edition and distribute guides within the intended neighborhood distribution area.

Distribution quantities, delivery dates, and geographic reach are estimates and may vary based on printing, logistics, weather, staffing, or other operational factors.

2. Content Submission

Participating businesses are responsible for providing accurate and timely:

• business name and contact information

• logos and photos

• business descriptions

• promotional offers or discounts

The Block may edit submitted materials for length, formatting, clarity, design consistency, and print quality.

If materials are not submitted by the stated deadline, The Block may:

• use publicly available assets,

• use existing approved materials,

• substitute placeholder content, or

• remove the business from the current edition without refund if production deadlines require it.

3. Design and Editorial Discretion

The Block retains final discretion over:

• layout

• design

• formatting

• placement

• sizing

• overall editorial presentation

The Block reserves the right to decline, modify, or remove content that is misleading, inappropriate, offensive, unlawful, or inconsistent with the publication’s standards.

4. Payment and Refunds

Participation fees are due as outlined during checkout or invoicing.

Because production and distribution involve upfront design, printing, and labor costs:

• payments are non-refundable once design work or production has begun;

• cancellations after content approval or production may not be eligible for refund;

• refunds, if granted, are solely at The Block’s discretion.

5. No Performance Guarantee

The Block is intended to promote neighborhood discovery and drive local engagement, but does not guarantee:

• customer visits,

• redemptions,

• sales,

• leads, or

• specific return on investment.

Participation is promotional in nature and results may vary.

6. Business Responsibility

Participating businesses are solely responsible for:

• honoring any offers, discounts, or promotions submitted;

• the accuracy of all claims, pricing, and business information;

• compliance with all applicable laws, permits, and regulations.

The Block is not responsible for disputes between participating businesses and customers.

7. Intellectual Property

By submitting logos, photos, and other materials, you confirm that:

• you own the content or have the right to use it;

• you grant The Block a non-exclusive license to use, reproduce, resize, and publish the materials in print, digital, and promotional formats related to The Block.

8. Limitation of Liability

To the fullest extent permitted by law, The Block and its owners, affiliates, and contractors shall not be liable for:

• indirect or consequential damages,

• lost profits,

• printing errors caused by submitted materials,

• delays in production or delivery,

• interruptions caused by events outside reasonable control.

Any direct liability shall be limited to the amount paid for participation.

9. Changes

The Block may update these Terms from time to time. Updated Terms will be posted on the website and apply going forward.
